The Common Paper Cloud Service Agreement was created by a committee of over 40 attorneys representing technology vendors, procurement teams, boutique firms, and Big Law.

I see this agreement is hosted online. Does that mean it will change?

Version 1 of this agreement will remain unchanged and hosted on this page forever. Over time, we will create new versions to accommodate changes to the law and additional use cases. We expect future changes to occur infrequently, and they will always be posted as a new version.

How do I use this agreement?

To execute an agreement using the Common Paper CSA, first download a copy of the Cover Page in your preferred format. Then finalize the terms of the agreement with your counterparty and input those terms into the corresponding bracketed section of the Cover Page and Order Forms. Finally, sign your Cover Page and Order Form with your counterparty via the signing process of your choice. The Cover Page incorporates the Standard Terms by reference, completing the executed agreement.

Common Paper agreements are free to use and modify under CC BY 4.0.

csa's Issues

Use classnames that are in our design system

The CSA uses a class called header_3 which needs to exist in our app, but isn't currently part of our design system. We should pick a semantically meaningful name for this class that matches what we're using elsewhere.

Agreement for on-premise software

First thank you for sharing your templates here and founding this company :)

I'm building and selling an OSS on-premise software that is run by our clients on their own infrastructure and I think the CSA agreement does not fit well for that. Do you have plan to release an agreement that would be a better fit for on-premise solutions?
